AGREEMENT OVERVIEW

This Terms of Service Agreement (“Agreement”) is a legally binding contract between:

• You (“you,” “your”)
• Zazzzy, LLC (“Zazzzy,” “we,” “us,” “our”)

This Agreement governs your use of:

• Zazzzy.com
• YourTownFirst.com
• All related websites, tools, software, and services (collectively, the “Services”)

ACCEPTANCE

1. ELIGIBILITY

You must:

• Be at least 18 years old
• Be legally able to enter a contract
• Follow all applicable laws

2. DEFINITIONS

• Storefront — Your online shop built using Zazzzy
• Storefront Owner — You, operating your independent business
• Listing — Any product, service, or business profile
• Local Hub — Community-based directory page
• Ambassador — Independent participant promoting adoption
• Subscription — Paid access to platform features
• Content — Anything you upload or publish

3. CHANGES TO TERMS

We may update these Terms at any time.
Continued use = acceptance of updates.

4. PLATFORM-ONLY; YOUR BUSINESS IS YOURS

4.1 Independent Business

Zazzzy provides a technology platform only.
When you create a storefront:

• You are operating your own independent business
• You are fully responsible for:
  • Products/services
  • Customers
  • Operations
  • Legal compliance

4.2 No Ownership or Control

Zazzzy:

• Does NOT own your business
• Does NOT control your storefront
• Does NOT participate in your transactions

4.3 Not the Seller

Zazzzy is NOT:

• The seller
• The merchant
• The service provider

4.4 No Agency Relationship

Nothing in this Agreement creates:

• Partnership
• Employment
• Agency

4.5 Your Responsibility

You are solely responsible for:

• Listings and pricing
• Fulfillment
• Refunds and customer service
• Taxes, licenses, and compliance

4.6 No Endorsement

“Featured” or “Sponsored” listings are paid placements, not endorsements.

5. PAYMENTS & TRANSACTIONS

Transactions occur directly between you and your customers
You are the merchant of record
Zazzzy does not:

• Handle payments
• Hold funds
• Mediate disputes

5.1 Disputes & Chargebacks

You are responsible for:

• Refunds
• Chargebacks
• Customer disputes

5.2 Prohibited Conduct

You may not:

• Commit fraud
• Process unauthorized payments
• Sell illegal goods/services

6. STOREFRONT DISCLOSURES

You must clearly communicate:

• Your business identity
• Your policies
• Your responsibility as the seller

You may not imply Zazzzy is involved in your business.

7. SUBSCRIPTIONS, BILLING & REFUNDS

7.1 Free Trial

You may be offered a free trial to test the platform.

7.2 AUTOMATIC RENEWAL — IMPORTANT

YOUR SUBSCRIPTION WILL AUTOMATICALLY RENEW UNLESS YOU CANCEL.
By subscribing, you authorize recurring charges.
Billing occurs at the start of each period
Cancel anytime before renewal
Charges continue until canceled

7.3 NO REFUNDS AFTER FREE TRIAL

Once your free trial ends and you continue:

• ALL PAYMENTS ARE FINAL
• No refunds
• No partial credits
• No transfers

7.4 Cancellation

You may cancel anytime through your account or by contacting support.

8. AMBASSADOR PROGRAM

8.1 Role

Ambassadors help promote Zazzzy and YourTownFirst.

8.2 Independent Status

Ambassadors are independent contractors, not employees.

8.3 Restrictions

Ambassadors may NOT:

• Accept or process payments
• Make promises on behalf of Zazzzy
• Bind Zazzzy legally

8.4 Commissions

• May be offered
• May be changed or revoked

8.5 Termination

Zazzzy may terminate participation at any time.

9. ADVERTISING

Zazzzy may display ads.
Sponsored listings are paid placements and not endorsements.

10. ACCOUNTS & SECURITY

You are responsible for:

• Accurate account information
• Account security
• All activity under your account

11. CONTENT

You retain ownership of your content.
You grant Zazzzy a license to:

• Display
• Host
• Promote
• Operate the platform

12. PRIVACY

Your use of the Services is subject to our Privacy Policy.

13. PROHIBITED USES

You may not:

• Violate laws
• Mislead users
• Upload harmful content
• Engage in fraud or abuse

14. INTELLECTUAL PROPERTY

Zazzzy owns:

• Platform technology
• Branding
• Systems

15. THIRD-PARTY SERVICES

Use at your own risk.
Third-party terms apply.

16. ENFORCEMENT

We may:

• Remove content
• Suspend accounts
• Terminate access

17. INDEMNIFICATION

You agree to protect Zazzzy from claims related to your use or business.

18. DISCLAIMERS

Services are provided:
“AS IS” AND “AS AVAILABLE”

19. LIMITATION OF LIABILITY

Zazzzy is not liable for:

• Lost profits
• Business losses
• Indirect damages

Liability is limited to fees paid in the past 12 months.

20. DISPUTE RESOLUTION

• Binding arbitration (AAA)
• No class actions
• Individual claims only

21. GOVERNING LAW

• Florida law applies
• Venue: Manatee County

22. SERVICE AVAILABILITY

• No uptime guarantees
• Maintenance may occur
• No liability for interruptions

23. CONFIDENTIALITY

Confidential information must be protected.
Applies during use and for 3 years after.

24. FORCE MAJEURE

No liability for events outside reasonable control:

• Natural disasters
• Government actions
• Infrastructure failures

25. MISCELLANEOUS

• Entire agreement
• Severability
• Assignment rights
